Pentair Buys Brazilian Manufacturer

Pentair Inc. has acquired a leading Brazilian vinyl-liner manufacturing and
distribution company.

The deal for Sibrape Industria E Comercio de Artigos Para Lazer Ltda. and
its subsidiary Hidrovachek Ltda. (Sibrape) is expected to strengthen Pentair’s
presence in the key South American market, according to a statement from
Karl Frykman, president of Pentair Aquatic Systems in Sanford, N.C.

Terms of the transaction, which was announced April 4, were not disclosed.

Based in the city of Ribeirao Preto, Sao Paulo, Brazil, Sibrape produces and
sells vinyl-liners as well as filters, pumps and pool accessories through more
than 1,200 retail outlets across South America. The 25-year-old firm employs
approximately 125 people, the statement added.

The agreement closely follows Pentair’s announcement in late March that it
was planning a $4.53 billion merger with the flow control business of Tyco.
That deal is expected to close around September, after Tyco completes a
planned break-up of its firm into three separate companies.

The news also comes about two years after Pentair acquired the pump and
filter business of Grundfos Brazil, which at the time was the country’s No. 4
pool equipment manufacturer, according to Carlos Del Amo, vice president of
Global Marketing at Pentair.
